Band Hone Se Pehle Business Ko Nayi Zindagi
In English: new life for the business before it shuts down.
MSME Loan Restructuring, One-Time Settlement and Sick Unit Revival
EMIs slipping, the bank calling, or the unit running below capacity? The earlier you act, the more options you have.
When cash flow breaks down, MSME loans move quickly from overdue to NPA, and each stage narrows your choices. There are recognised routes: rectification, restructuring, one-time settlement and, for some, pre-packaged insolvency. GRO-MSME helps you understand where you stand, build a realistic proposal for your lender and plan the business’s recovery.

What Is MSME Loan Restructuring?
Loan restructuring is a change in the terms of a loan, such as a longer tenure, a moratorium, a lower instalment or conversion of overdue interest, agreed by the lender because the borrower is in financial difficulty but the business is still viable. It is different from a one-time settlement (OTS), where the lender accepts a negotiated amount to close the loan, usually with a sacrifice. Under RBI rules, a loan overdue for 1 to 90 days is flagged as a special mention account (SMA-0, SMA-1 or SMA-2), and more than 90 days makes it a non-performing asset. Acting at the SMA stage keeps more options open.
Where Does Your Loan Account Stand?
Banks classify loans by how long the principal or interest has been overdue.
| Classification | Days overdue | What it usually means for you |
|---|---|---|
| SMA-0 | 1 to 30 days | An early warning; clearing dues quickly usually resolves it |
| SMA-1 | 31 to 60 days | The lender watches the account closely and may ask for a plan |
| SMA-2 | 61 to 90 days | Last stage before NPA; lenders are expected to decide a corrective action plan |
| NPA (sub-standard) | More than 90 days | Recovery action can begin; settlement or restructuring becomes harder |
For cash credit and overdraft accounts, the tests are based on continuous overdrawing beyond the limit. Rules as per RBI prudential norms.
What Are the Options for a Stressed MSME Loan?
The right route depends on whether the business can recover and how far the account has slipped.
| Option | What it is | When it fits |
|---|---|---|
| Rectification | Clearing overdues and regularising the account, sometimes with fresh working capital or promoter funds | Short-term stress in a sound business |
| Restructuring | Changing loan terms: longer tenure, moratorium, lower EMIs, or reworked working capital limits | A viable business that needs time to recover |
| One-time settlement (compromise) | The lender accepts a negotiated amount to close the loan, usually with a sacrifice; subject to the lender’s board-approved policy | Recovery of the full loan is unlikely and the borrower can raise a settlement amount |
| Pre-packaged insolvency (IBC) | A faster insolvency route for corporate MSMEs where the promoter proposes a resolution plan with creditors’ approval | Companies and LLPs with larger debts; needs legal and insolvency professionals |
| Takeover or refinance | Another lender takes over the loan on revised terms | Accounts with a recovering track record |
Under RBI’s 2023 framework, a borrower who settles a non-farm loan through a compromise faces a cooling period of at least 12 months before the lender can take on fresh exposure.

What Are the Warning Signs of a Sick Unit?
EMIs paid late, or from other loans
Borrowing to repay borrowing is a clear sign the cash cycle has broken.
Working capital limit always full
The cash credit account stays at or above the limit for months.
Buyers paying late, suppliers pressing
Receivables stretch while creditors shorten terms. See delayed payment remedies.
Falling capacity use
Machines idle, orders shrinking, costs not falling with sales.
Our business health assessment webinar report explains how to read these signals early.

MSME Loan Restructuring and OTS: Frequently Asked Questions
What is the difference between restructuring and a one-time settlement?
Restructuring changes the loan’s terms, such as tenure or instalments, so a viable business can keep repaying. A one-time settlement closes the loan by paying a negotiated amount, usually less than the full dues, and ends the relationship with that lender for that loan.
What do SMA-0, SMA-1 and SMA-2 mean?
They are RBI’s early-warning classes for overdue loans: SMA-0 for 1 to 30 days overdue, SMA-1 for 31 to 60 days and SMA-2 for 61 to 90 days. After 90 days, the loan becomes a non-performing asset.
Is there a government one-time settlement scheme for MSMEs?
Settlements are offered by lenders under their own board-approved policies, following RBI’s 2023 Framework for Compromise Settlements. Public sector banks sometimes announce OTS schemes for specific segments. Whether you qualify depends on the lender.
How does a one-time settlement affect my CIBIL report?
A settled loan is usually reported as “settled” rather than “closed”, which can make future borrowing harder. Under RBI’s framework, lenders also apply a cooling period of at least 12 months for non-farm borrowers before taking on fresh exposure.
Can an NPA account still be restructured?
It is harder once an account is NPA, and the options depend on the lender’s policy and the viability of the business. Settlement or a revival plan with fresh promoter funds may be considered. Acting before the account turns NPA gives the best chance.
What is pre-packaged insolvency for MSMEs?
It is a route under the Insolvency and Bankruptcy Code for corporate debtors that are MSMEs, where the promoter proposes a resolution plan that creditors approve, while the business keeps running. It requires insolvency professionals and legal advice.
Does GRO-MSME negotiate with banks on my behalf?
GRO-MSME helps you prepare and present restructuring or settlement proposals and supports your discussions with the lender. The decision rests entirely with the lender, and where legal representation is needed you should engage an advocate.
